Beta Tester Confidentiality Agreement

1. Confidential Information

"Confidential Information" means:

• the pre-release / beta software and any updates — the binary itself is Confidential Information, not merely a licensed copy;
• the codec, its methods, architecture, algorithms, data formats, constants, and internal structure, however observed — including any form recoverable or readable from the software;
• configuration, records, tables, caches, kernels, and other data files shipped with, installed by, or generated by the software, including any per-camera performance, support, or routing records;
• the existence, features, and functionality not yet publicly released;
• performance, benchmark, and test results;
• screenshots, recordings, teardowns, and analyses; and
• any other non-public information about BatchFox's technology or roadmap received or observed through the Beta Program.

2. Confidentiality and Non-Use

You will:

• (a) keep Confidential Information confidential and use it solely to test the software and give feedback;
• (b) not share, distribute, upload, publish, transmit, or make available the pre-release binary to any person or service, including any online analysis, scanning, code-hosting, or AI service;
• (c) not access, extract, study, document, reconstruct, or disclose the codec method or architecture — whether by reverse engineering, by reading any readable or recoverable form, or by any other means;
• (d) not publish teardowns, architecture write-ups, "benchmarks with internals," screenshots, or performance/feature claims about the pre-release software;
• (e) not use any automated tool, decompiler, disassembler, debugger, or artificial-intelligence or machine-learning service to analyze, summarize, translate, or extract any part of the software or any Confidential Information;
• (f) protect Confidential Information with at least the degree of care you use for your own confidential information, and no less than reasonable care, and not permit any other person to access the pre-release software or your beta account; and
• (g) notify BatchFox promptly at support@batchfoxstudio.com if you become aware of any unauthorized use or disclosure of Confidential Information or any loss of the pre-release software.

3. Exclusions

This obligation does not apply to information that:

• (i) is or becomes public through no act or omission of yours;
• (ii) was rightfully known to you before receipt;
• (iii) is rightfully received from a third party without a duty of confidentiality; or
• (iv) you are required to disclose by law or court order, provided you give BatchFox prompt written notice where lawful.

4. Return or Destruction

On termination of your beta access or of the Beta Program, or upon BatchFox's request, you will uninstall and delete the pre-release software and any Confidential Information, notes, or extracted materials in your possession, and confirm in writing that you have done so.

5. No License; Reservation of Rights

Participation grants you no license or rights in the software, the codec, or any BatchFox intellectual property beyond a limited, revocable right to run the pre-release build for testing. All trade-secret, patent, copyright, and other rights are reserved.

6. Feedback

BatchFox may use any feedback, bug reports, or suggestions you provide without restriction, attribution, or compensation. You assign to BatchFox Studio LLC all right, title, and interest in such feedback, and you will not seek patent, copyright, or other intellectual-property protection for any invention, improvement, or work derived from Confidential Information or from your participation in the Beta Program.

7. Term and Survival

Your obligation as to pre-release features, benchmarks, and screenshots continues until BatchFox publicly releases or discloses that item. Your obligation as to the codec method and architecture, and as to any BatchFox trade secret, continues for as long as that information remains a trade secret — that is, indefinitely while it remains secret; it does not expire at the end of the Beta Program or on any fixed date. The anti-reverse-engineering and anti-extraction restrictions survive indefinitely.

8. Injunctive Relief

You acknowledge that a breach of this Agreement may cause irreparable harm for which monetary damages would be inadequate, and that BatchFox may seek injunctive or other equitable relief, consistent with the intellectual-property injunctive-relief provision already in the Terms.

9. Relationship to the Terms and EULA; Governing Law; Electronic Acceptance

This Agreement supplements the BatchFox Terms of Service and End User License Agreement, which you accept together with it. If this Agreement conflicts with the Terms or the EULA regarding Confidential Information or the pre-release software, this Agreement controls. Sections 12 (Governing Law), 13 (Dispute Resolution, including the carve-out permitting injunctive relief to protect intellectual property), and 14 (Notices) of the Terms of Service apply to this Agreement. Your electronic acceptance of this Agreement when you redeem your invite is your signature and forms a binding agreement; BatchFox records the version and content of the agreement you accepted together with your account identity and the time of acceptance. Each pre-release build may carry an identifier associated with your account, and you consent to that marking. If any provision of this Agreement is held unenforceable, the remaining provisions remain in full effect.
